Scripless : A Study of Appropriateness for Enforcement and Legal Effects

Abstract

The main objectives of this article are to study on the problem of the share certificate in companies limited and public companies limited, both public companies limited in general and those with securities registered with SET (‘listed companies’), relating to the management of share certificates and the verification of the status as the shareholder of the share certificate, the share transfer, the share transmission, and the share pledge of Thailand, at present; and to study on foreign laws that apply and enforce the scripless system in diversified manner with great coverage, such as laws of Australia, Malaysia, and France, in order to analyze the appropriateness of the application of the scripless system in Thailand; and if the system is appropriate, how the scripless system be applied, and how the relevant laws should be developed and improved in order to fit the changed scripless system. The findings from the study will lead to the attainment of the direction for appropriately applying the scripless system in Thailand to be agreeable to the contexts of societal and technological changes at present.
